Frequently asked questions
Everything about reinstating an LLC or corporation with us.
What does it mean to reinstate an LLC or corporation?
Reinstatement restores a company that the state administratively dissolved, revoked or forfeited, usually after a missed annual report, an unpaid fee or a lapsed registered agent. Once approved, the company returns to active status and good standing.
What do you file for me?
We prepare and file your state's reinstatement document: an Application for Reinstatement, Certificate of Reinstatement, Articles of Revival or the equivalent form your state uses. For foreign entities, we file to reinstate the registration in the state where it was revoked.
How fast is my reinstatement filed?
Within 1 business day of your order. Every order is treated as expedited, at no extra cost. After filing, approval time depends on the state.
How much does it cost?
$49 plus the state reinstatement fee. You see the base state fee before you pay. There are no expedite charges, subscriptions or upsells.
What about past-due reports, fees and taxes?
Many states require missing annual reports, late fees, penalties or taxes to be brought current as part of reinstatement. These amounts vary by company. We review your company's status with the state and confirm any additional amount with you before we file. Nothing extra is charged without your approval.
Why was my company dissolved or revoked?
The most common reasons are a missed annual report, an unpaid state fee or franchise tax, or not maintaining a registered agent. The state's record usually shows the reason and the date.
Do I need to know the date my company was dissolved?
No. Enter it if you know it. If not, leave it blank and we'll confirm it from the state's records.
Is there a deadline to reinstate?
Some states limit how long after dissolution a company can be reinstated, and others allow it at any time. Reinstating sooner also reduces the chance that another business registers your company name.
Who is allowed to sign?
An authorized member, manager, officer or director, or a receiver or trustee empowered to act for the company.
What will I receive?
An email when your filing is submitted, then the state-approved reinstatement document as soon as the state returns it.
What if the state rejects the filing?
We correct it and resubmit at no charge. If we can't complete your filing, we refund our service fee in full.
Are you a law firm?
No. Reinstate LLC Online is a document preparation and retrieval service. We don't provide legal or tax advice.
Can you reinstate a foreign registration?
Yes. If your company was formed in one state and its authority to do business in another state was revoked, check "This is a Foreign Entity" in the order form and choose the state of foreign qualification.
